These Website Terms of Use (“Terms”) govern access to and use of www.novagate-solutions.com (the “Site”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. About NovaGate

NovaGate is the business name used by two operational legal entities:

• NovaGate Solutions ApS, CVR 45666328, Akademivej 1 E, 1. 22, 2800 Kongens Lyngby, Denmark

NovaGate Solutions OÜ operates the Site. Professional services are supplied by the NovaGate entity identified in the relevant proposal, agreement, order, or invoice. Some existing client engagements continue with NovaGate Solutions ApS. A signed service agreement takes precedence over these Website Terms for professional work.

2. Informational Nature of the Site

Site content describes our capabilities, experience, research, and general approach. It is not a binding offer, professional advice, or a promise of a particular result. A project begins only when the relevant NovaGate entity and client agree it in writing.

Case studies and testimonials reflect the circumstances described and do not guarantee the same outcome for another organisation. Technology, provider pricing, laws, and market conditions can change after content is published.

3. ROI Calculator and Cost Examples

Calculator outputs, cost ranges, timelines, and business-case examples are illustrative planning estimates in euros. They depend on assumptions and information you provide, may not include tax, and are not financial, tax, legal, or investment advice. We do not guarantee savings, returns, implementation costs, or payback periods.

4. Permitted Use

You may view the Site and download materials that we make available for your own legitimate internal or personal use. You must keep any copyright, attribution, and proprietary notices intact.

You must not:

• Use the Site unlawfully, fraudulently, or to infringe another person’s rights
• Attempt unauthorised access to the Site, its infrastructure, or connected systems
• Introduce malicious code or interfere with availability, security, or performance
• Misrepresent your identity, affiliation, or the source of Site content
• Copy, republish, sell, or commercially exploit substantial Site content without written permission
• Use automated extraction in a way that places an unreasonable load on the Site or ignores applicable access instructions

5. Intellectual Property

Unless stated otherwise, Site text, design, software, graphics, branding, reports, and other materials are owned by NovaGate Solutions OÜ, NovaGate Solutions ApS, or their licensors. Applicable copyright, trademark, database, and other intellectual-property laws protect them. No ownership rights transfer to you through use of the Site.

We grant you a limited, non-exclusive, revocable permission to use the Site for its intended purpose. Any broader reuse requires prior written consent from the relevant rights holder.

6. Information You Submit

You are responsible for ensuring that information you submit is accurate and that you may lawfully provide it. Please do not send confidential information unless an appropriate agreement is in place. We use submitted information to respond, prepare a requested report or proposal, assess an application, and improve or secure our services as explained in the Privacy Policy.

7. External Services and Links

The Site may link to services operated by others, including scheduling, social-media, and reference sites. Those services are controlled by their own operators and terms. A link does not mean that NovaGate endorses every statement, product, or practice on the destination site.

8. Availability and Liability

We take reasonable care with the Site but provide it on an “as available” basis. We do not promise uninterrupted access or that all content is complete, current, or free from error. To the fullest extent permitted by law, NovaGate Solutions OÜ and NovaGate Solutions ApS exclude implied warranties relating to the Site.

To the fullest extent permitted by law, neither NovaGate entity is liable for indirect or consequential loss, lost profit, lost opportunity, or lost data arising solely from use of, or inability to use, the Site. Our aggregate liability relating solely to the Site will not exceed €100. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

9. Privacy

Our Privacy Policy explains who controls personal data collected through the Site, how it is used, and the rights available to you.

10. Changes

We may change or discontinue Site features and may revise these Terms. The revision date appears at the top. Material changes apply from publication and do not alter a signed client agreement unless that agreement allows it.

11. Governing Law

These Terms and disputes relating solely to use of the Site are governed by Estonian law, without prejudice to mandatory protections that apply in your country. The courts of Estonia have jurisdiction unless mandatory law requires otherwise. Professional services remain governed by the law and dispute terms in the applicable service agreement.

12. General and Contact

If part of these Terms is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver of it. These Terms and the Privacy Policy form the agreement for use of the Site, but not for professional services.
